I.                 PRESIDENCY

Duties: Those set out in the Deed of Elevation to Public Deed of Corporate Resolutions No. 687 dated 25 September 2019 and in the Certificate of Minutes of the Board of Directors dated 23 September 2019 and, specifically, the following:

  1. EXECUTIVE DUTIES:To execute the corporate resolutions and demand compliance with them; to certify the corporate resolutions; to elevate said resolutions to public in the cases and with the conditions.
  2. REPRESENTATIVE DUTIES: To represent the company before all kinds of public and private entities and individuals; appear before all kinds of courts and tribunals of any jurisdiction, and before all kinds of international, national, regional or local public bodies and administrations, in any capacity, and in all kinds of trials and proceedings; lodge appeals, including appeals for cassation, review or annulment, ratify pleadings and withdraw from proceedings, either directly or through Lawyers and Attorneys to whom they may confer the appropriate Powers of Attorney; and attend, with voice and vote, meetings of suspensions of payments and bankruptcies. To represent the company before the Ministry of Finance, Tax Delegations and Sub-delegations, tax assessment or collection offices and before any other centres and bodies dependent on the aforementioned Ministry, and for this purpose may receive any payments and other amounts that the company is entitled to receive for any other reason; pay contributions and taxes; sign affidavits and applications and lodge and pursue all kinds of appeals through all procedures; issue letters of payment and sign receipts.
  3. COMMERCIAL DUTIES: To carry on business on behalf of the Company, to enter contracts for work, transport, works, supplies, and services, leasing, and transfer of business premises; to collect and forward goods, shipments, and money orders. To manage the commercial organisation of the Company and its business, appointing and dismissing employees and representatives.
  4. BANKING DUTIES: To dispose of, monitor, open and cancel current accounts and deposits of any kind in all types of credit and savings institutions, banks, including the Bank of Spain and other banks, institutes, and official bodies, doing everything that legislation and banking practice allow. Draw, endorse, accept, intervene, discount, protest, negotiate, collect, and pay bills of exchange, commercial or financial bills, and other documents to order. To constitute, modify and withdraw deposits and guarantees in cash, securities or in kind, in any banking or credit establishment, Central, Autonomous or Local Administration Bodies, with express mention of the State General Deposit Fund and the Bank of Spain, as well as any other state, private or autonomous entity fund.
  5. ADMINISTRATIVE DUTIES: To administer the assets and rights of the Company, in the broadest sense, being able to assign the use and enjoyment of the same and extinguish previous legal relationships. To organise the company’s business; and to appoint, dismiss or replace staff, setting salaries or remuneration. Determine the investment of available funds and manage the company’s business and assets. To enter all kinds of contracts necessary for the development of the Company, under the conditions it deems appropriate in each case: To request notarial acts of all kinds; to make, accept and respond to notifications and summons, and to request the execution of registry entries. To make payments and collect any amounts owed to the Company for any reason whatsoever, by natural or legal persons, by the State, Province or Municipality, Banks, and credit institutions, including the Bank of Spain.
  6. ARBITRATION DUTIES: To submit questions in which the company may have an interest to the judgement of arbitrators; to grant transactions, commitments, and waivers.
  7. FORMALIZATION DUTIES: To execute all kinds of public and private documents; to withdraw and collect any amount or funds from any public or private body, signing letters of payment, receipts, invoices, and bills of exchange.Body to which he/she belongs: Governing Board and Board of Directors.
